These Terms of Service ("Terms") govern your access to and use of ThemiSign
("ThemiSign," "we," "us"), our website, and our electronic signature (eSignature) platform. By
creating an account or using ThemiSign, you agree to these Terms. If you're using ThemiSign on
behalf of a company, you're confirming you have the authority to bind that company to these Terms.
Acceptance of terms
By accessing or using ThemiSign, you agree to be bound by these Terms and by our
Privacy
Policy and Cookie
Policy, which are incorporated by reference. If you don't agree, please don't use the
service.
The service
ThemiSign lets you upload documents, place signature and other fields, route them to one or
more recipients, and collect electronic signatures. Each document is accompanied by an audit
trail recording key events (sent, viewed, signed) with a timestamp and IP address.
ThemiSign provides electronic signatures (eSignatures) — a typed, drawn, or click-to-sign
mark showing intent to agree. We do not currently provide certificate-based digital
signatures (PKI), and we do not currently offer eIDAS-qualified or advanced electronic
signatures for EU-regulated use cases. See the "Electronic signatures" section below.
Accounts
- You must provide accurate information when creating an account and keep it up to date.
- You're responsible for keeping your password confidential and for all activity under your account.
- You must be legally able to enter into a binding contract to use ThemiSign.
- Let us know right away if you suspect unauthorized use of your account.
Plans, billing & cancellation
- The Free plan is free indefinitely, with the limits described on our pricing page.
- Paid plans are billed in advance on a monthly basis.
- You can cancel a paid plan at any time. When you cancel, you won't be charged for the following billing cycle, but we don't offer refunds for time already billed.
- You can upgrade or downgrade at any time; changes are prorated where applicable and reflected in your next invoice.
- We may change our pricing going forward; we'll give you notice before any change affects your active subscription.
Acceptable use
You agree not to use ThemiSign to:
- Send documents you don't have the right to send, or obtain signatures through deception, coercion, or impersonation.
- Upload or transmit unlawful, infringing, or fraudulent content.
- Attempt to gain unauthorized access to ThemiSign, other accounts, or our systems.
- Interfere with or disrupt the service, or probe/scan for vulnerabilities without authorization.
- Use the service in a way that violates any applicable law, including electronic signature laws in your jurisdiction.
We may suspend or terminate accounts that violate this section.
Your content & documents
You retain ownership of the documents and content you upload to ThemiSign ("Your Content").
You grant us a limited license to host, process, and transmit Your Content solely to provide
the service to you and your signers — for example, rendering your PDF, routing it to
recipients, and generating the audit trail and certificate.
You're responsible for making sure you have the right to send Your Content through ThemiSign,
and that it doesn't violate any law or infringe anyone else's rights.
Electronic signatures
In the United States, the ESIGN Act and the Uniform Electronic Transactions Act (UETA)
generally give electronic signatures the same legal effect as handwritten ones, provided the
signer intends to sign, consents to sign electronically, and the record is retained.
ThemiSign is designed to capture that intent, consent, and a timestamped audit trail.
Electronic signature laws vary by jurisdiction and by document type — some document types
(such as wills, certain court filings, or notarized documents) may not be valid with an
electronic signature at all. It's your responsibility to determine whether an electronic
signature is appropriate and sufficient for a particular document; we don't provide legal
advice.
Intellectual property
ThemiSign, including our software, branding, and website, is owned by us and protected by
applicable intellectual property laws. These Terms don't grant you any rights to our
trademarks, logos, or brand assets. Except for Your Content, all rights not expressly
granted to you are reserved.
Third-party services
ThemiSign relies on third-party providers to operate — for example, hosting, email delivery,
payment processing, and Google Analytics. We're not responsible for the acts or omissions of
these providers, though we choose them carefully. See our

Policy for more detail on how these providers handle data.
Disclaimers
ThemiSign is provided "as is" and "as available," without warranties of any kind, express or
implied, including implied warranties of merchantability, fitness for a particular purpose,
and non-infringement. We don't warrant that the service will be uninterrupted, error-free, or
completely secure, or that it will meet every legal requirement applicable to your specific
use case or jurisdiction.
Limitation of liability
To the fullest extent permitted by law, ThemiSign and its team won't be liable
for any indirect, incidental, special, consequential, or punitive damages, or any loss of
profits, revenue, data, or goodwill, arising from your use of the service. Our total
liability for any claim relating to the service is limited to the amount you paid us in the
12 months before the claim arose.
Indemnification
You agree to defend and indemnify us against any claims, losses, or expenses (including
reasonable legal fees) arising from Your Content, your use of the service in violation of
these Terms, or your violation of any law or third-party right.
Termination
You may stop using ThemiSign and close your account at any time. We may suspend or terminate
your access if you violate these Terms, or with reasonable notice for any other reason.
Sections that by their nature should survive termination (such as intellectual property,
disclaimers, limitation of liability, and indemnification) will continue to apply.
Changes to these terms
We may update these Terms as ThemiSign grows. If we make material changes, we'll update the
"Last updated" date above and, where appropriate, notify you by email or through the app.
Continuing to use ThemiSign after changes take effect means you accept the updated Terms.
Governing law
These Terms are governed by the laws of [ADD GOVERNING LAW / JURISDICTION], without regard to
its conflict-of-law principles, and any disputes will be handled in the courts located there,
unless applicable law requires otherwise.
